These Terms and Conditions (the "Terms") govern your access to and use of the website, mobile applications, and related services (collectively, the "Platform") operated by Nextenti Tech Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at Unit No. 1, 14th Floor, One Golden Mile, Golden Mile Road, Kokapet, K.V. Rangareddy, Rajendra Nagar, Telangana, India - 500075.
Please read these Terms carefully before using the Platform. By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must immediately discontinue use of the Platform.
1. Acceptance of Terms
- These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Nextenti Tech Private Limited ("we", "us", or "our") under the Information Technology Act, 2000 ("IT Act") and applicable rules thereunder, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
- Your continued use of the Platform after any update to these Terms constitutes acceptance of the revised Terms.
- These Terms are published in compliance with Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
2. Eligibility
- You must be at least 18 years of age to register for or use the Platform independently.
- If you are under 18 years of age, you may only use the Platform with the verifiable consent of a parent or legal guardian, who shall be responsible for your use and compliance with these Terms.
- By using the Platform, you represent and warrant that:
- (a) you have the legal capacity to enter into a binding agreement under Indian law;
- (b) you are not barred from using the Platform under any applicable law or court order; and
- (c) all registration information you provide is accurate, current, and complete.
3. User Account Responsibilities
- To access certain features of the Platform, you may be required to create an account by providing accurate personal information including your name, email address, mobile number, and any other details requested during registration.
- You are solely responsible for:
- (a) maintaining the confidentiality of your account credentials (username and password);
- (b) all activities that occur under your account; and
- (c) notifying us immediately atsupport@nextenti.aiupon becoming aware of any unauthorised access to or use of your account.
- We shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.
- You agree not to create multiple accounts for deceptive purposes or to circumvent any suspension or termination of your account.
- We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, false, or misleading.
4. Permitted Use
- Subject to these Terms, Nextenti Tech Private Limited grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial use.
- Permitted activities include:
- (a) browsing and accessing content made available on the Platform;
- (b) using health-related informational features in accordance with the intended purpose of the Platform;
- (c) using job opportunity features to search, apply for, or list opportunities as applicable to your role;
- (d) making payments for services offered on the Platform through authorised payment channels; and
- (e) any other activity expressly authorised by Nextenti Tech Private Limited in writing.
5. Prohibited Use
- You agree that you shall not, directly or indirectly:
- (a) use the Platform for any unlawful, fraudulent, or malicious purpose;
- (b) upload, post, transmit, or share content that is defamatory, obscene, pornographic, hateful, harassing, or otherwise objectionable under applicable Indian law, including the IT Act and the Indian Penal Code, 1860;
- (c) infringe or misappropriate any intellectual property rights of Nextenti Tech Private Limited or any third party;
- (d) attempt to gain unauthorised access to any part of the Platform, its servers, or any connected systems or networks;
- (e) use automated tools (bots, scrapers, crawlers, or similar) to extract data from the Platform without our express written consent;
- (f) reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software underlying the Platform;
- (g) transmit viruses, malware, or any other harmful or disruptive code;
- (h) misrepresent your identity or impersonate any person or entity;
- (i) collect or harvest personal data of other Users without their explicit consent;
- (j) use the Platform in any manner that could disable, overburden, damage, or impair it; or
- (k) engage in any activity that violates applicable laws, including the IT Act, the Consumer Protection Act, 2019, or any regulations issued by the Reserve Bank of India ("RBI").
- Any violation of Section 5.1 may result in immediate termination of your account and may attract civil or criminal liability under applicable law.
6. Intellectual Property
- All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the overall design and compilation thereof (collectively, "Content"), is the exclusive property ofNextenti Tech Private Limited or its licensors and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws of India.
- Nothing in these Terms grants you any right, title, or interest in the Content or any intellectual property ofNextenti Tech Private Limited except the limited licence expressly set out in Section 4.1.
- The name "Nextenti", "nextenti.ai", and associated logos and marks are trademarks of Nextenti Tech Private Limited. You shall not use these marks without our prior written consent.
- If you submit, upload, or post any content, feedback, suggestions, or materials on the Platform ("User Content"), you grant Nextenti Tech Private Limited a worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, adapt, publish, and distribute such User Content for Platform-related purposes. You represent that you own or have the necessary rights to grant this licence and that the User Content does not violate any third-party rights or applicable laws.
7. Health Information Disclaimer
- Nextenti Tech Private Limited is not a medical provider, hospital, clinic, or healthcare professional. The health-related features and information available on the Platform are provided for general informational and facilitative purposes only and do not constitute medical advice, diagnosis, or treatment.
- You should always seek the advice of a qualified and licensed medical professional before making any healthcare decisions. Never disregard professional medical advice or delay seeking it because of something you have read on the Platform.
- In case of a medical emergency, contact your local emergency services immediately.
- Nextenti Tech Private Limited does not endorse any specific tests, physicians, products, procedures, or opinions referenced on the Platform. Reliance on any health information provided through the Platform is solely at your own risk.
- Health data and sensitive personal data (including biometric data) collected through the Platform are handled in accordance with our Privacy Policy and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 ("SPDI Rules").
8. Payment Terms
- Certain features or services on the Platform may be subject to fees ("Paid Services"). Applicable fees will be displayed to you prior to purchase or subscription.
- All payments must be made through the authorised payment methods available on the Platform. Payment processing is subject to the terms and conditions of the applicable third-party payment gateway and to RBI regulations governing payment and settlement systems.
- All fees are quoted in Indian Rupees (INR) unless otherwise stated and are inclusive or exclusive of applicable Goods and Services Tax ("GST") as indicated at the time of payment.
- Refund and cancellation policies for Paid Services are as set out athttps://nextenti.ai/refund-policy. In the absence of a specific policy, refunds shall be governed by applicable consumer protection laws, including the Consumer Protection Act, 2019.
- Nextenti Tech Private Limited reserves the right to modify, introduce, or discontinue any Paid Services and their associated fees upon 7 days' prior notice to Users.
- You are responsible for all charges incurred under your account, including applicable taxes.
9. Third-Party Links and Services
- The Platform may contain links to third-party websites, applications, or services. These links are provided for convenience only, and Nextenti Tech Private Limited does not endorse, control, or assume any responsibility for the content, privacy practices, or terms of any third-party platforms.
- Your interactions with third-party platforms are solely between you and such third parties. We encourage you to review the privacy policies and terms of service of any third-party platforms you visit.
10. Privacy and Data Protection
- Your use of the Platform is also governed by our Privacy Policy, available athttps://nextenti.ai/privacy-policy, which is incorporated into these Terms by reference.
- By using the Platform, you consent to the collection, use, storage, and processing of your personal data (including sensitive personal data and information) as described in the Privacy Policy and in accordance with the IT Act and the SPDI Rules.
- Cross-border transfers of your data, where applicable, shall be handled in accordance with the Privacy Policy and applicable Indian law.
12. Disclaimers and Limitation of Liability
- The Platform and all Content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by applicable law.
- Nextenti Tech Private Limited does not warrant that:
- (a) the Platform will be uninterrupted, error-free, or free of viruses or other harmful components;
- (b) the results obtained from use of the Platform will be accurate or reliable; or
- (c) any defects or errors in the Platform will be corrected.
- To the maximum extent permitted by applicable Indian law,Nextenti Tech Private Limited, its directors, officers, employees, agents, and licensors shall not be liable for:
- (a) any indirect, incidental, special, consequential, or punitive damages;
- (b) loss of profits, revenue, data, goodwill, or business opportunities; or
- (c) damages arising from unauthorised access to or alteration of your data, arising out of or in connection with your use of or inability to use the Platform.
- In no event shall Nextenti Tech Private Limited's aggregate liability to you for all claims arising under these Terms exceed the amount paid by you, if any, to Nextenti Tech Private Limited in the three (3) months immediately preceding the event giving rise to the claim.
- Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
13. Indemnification
- You agree to indemnify, defend, and hold harmless Nextenti Tech Private Limited, its directors, officers, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- (a) your access to or use of the Platform;
- (b) your User Content;
- (c) your breach of these Terms or any applicable law or regulation; or
- (d) your infringement of any third-party rights, including intellectual property rights or privacy rights.
- Nextenti Tech Private Limited reserves the right to assume exclusive control of any matter subject to indemnification by you, at your expense. You agree to cooperate fully withNextenti Tech Private Limited in asserting any available defences.
14. Term and Termination
- These Terms are effective from the date you first access or use the Platform and continue until terminated in accordance with this Section.
- You may terminate your account at any time by contacting us atsupport@nextenti.aiand requesting deletion of your account.
- Nextenti Tech Private Limited may, at its sole discretion, suspend or terminate your access to the Platform, with or without notice, if:
- (a) you breach any provision of these Terms;
- (b) we are required to do so by law or a competent authority;
- (c) your account has been inactive for an extended period; or
- (d) we decide to discontinue the Platform or any part thereof.
- Upon termination:
- (a) your licence to use the Platform ceases immediately;
- (b) we may delete your account and associated data in accordance with our Privacy Policy; and
- (c) provisions of these Terms that by their nature should survive termination (including Sections 6, 7, 12, 13, 15, 16, and 17) shall continue in full force and effect.
15. Dispute Resolution
- Informal Resolution: In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform ("Dispute"), you agree to first attempt to resolve the Dispute informally by contacting Nextenti Tech Private Limited atsupport@nextenti.ai. The Parties shall negotiate in good faith for a period of thirty (30) days from the date of notice of the Dispute.
- Arbitration: If the Dispute is not resolved informally within thirty (30) days, it shall be finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended), and the rules made thereunder. The arbitration shall be conducted by a sole arbitrator mutually appointed by the Parties or, failing agreement, appointed in accordance with the said Act.
- The seat and venue of arbitration shall be Hyderabad, Telangana, India.
- The language of arbitration shall be English.
- The arbitral award shall be final and binding on the Parties and may be enforced in any court of competent jurisdiction.
- Notwithstanding the foregoing, either Party may seek interim or emergency relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.
16. Governing Law and Jurisdiction
- These Terms and all matters arising out of or relating to them shall be governed by and construed in accordance with the laws of India, including the IT Act, 2000, the Consumer Protection Act, 2019, and other applicable statutes, without regard to conflict-of-law principles.
- Subject to Section 15, the courts of Hyderabad, Telangana, India, shall have exclusive jurisdiction over any disputes not referred to arbitration.
17. Changes to Terms
- Nextenti Tech Private Limited reserves the right to modify these Terms at any time. Changes will be effective upon posting the revised Terms on the Platform with an updated "Last Updated" date.
- For material changes, we will endeavour to provide notice to registered Users via email or a prominent notice on the Platform at least 7 days before the changes take effect.
- Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of those changes.
18. Grievance Redressal
- In accordance with the IT Act, 2000, and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Nextenti Tech Private Limited has designated a Grievance Officer whose details are set out below.

- The Grievance Officer shall acknowledge your complaint within 24 hours and endeavour to resolve it within 30 days of receipt, in accordance with applicable law.
- If you are not satisfied with the resolution provided, you may escalate your complaint to the appropriate regulatory authority or seek redressal through the Consumer Disputes Redressal mechanism under the Consumer Protection Act, 2019.
19. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you andNextenti Tech Private Limited with respect to the Platform and supersede all prior agreements, representations, or understandings.
- Severability: If any provision of these Terms is held to be invalid or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
- Waiver: Failure by Nextenti Tech Private Limited to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Nextenti Tech Private Limited may assign its rights and obligations under these Terms without restriction.
- Force Majeure: Nextenti Tech Private Limitedshall not be liable for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, government actions, or failures of third-party infrastructure.
- Language: These Terms are drafted in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
